The OpenAI Origin Story They Don't Tell You

There is a version of the OpenAI story that everyone in tech knows. A group of brilliant, idealistic researchers got worried that Google was going to control the future of AI. So they pooled their money, built a nonprofit, and decided to give the world a fighting chance. Then they built ChatGPT. A billion users. A five hundred billion dollar company. The greatest product launch in the history of software. That version is not exactly wrong. But it leaves out quite a lot. It leaves out the private diary where a cofounder wrote that the nonprofit commitment was probably a lie. It leaves out the internal emails where someone described a plan to "get out from Elon." It leaves out the five day boardroom coup in November 2023 where the chief scientist tried to secretly merge OpenAI with its biggest rival while the company was in freefall. And it leaves out the fact that right now, as you're reading this, the most important tech trial in a generation is six weeks away from starting. This is the actual OpenAI origin story. All of it sourced, all of it documented, and honestly some of it reads like a script that Netflix would reject for being too unbelievable. Let's go from the beginning.
Part 01: The Fear That Started Everything The story really begins not with OpenAI but with Google buying a British AI lab called DeepMind in January 2014 for five hundred million dollars. That acquisition rattled a specific subset of people in Silicon Valley in a very specific way. Not because of what Google had bought, but because of what it signalled: the most powerful data company in the world now owned the most promising AI research lab in the world. And nobody was talking about what that actually meant for the rest of humanity. Elon Musk was one of those rattled people. He had been on DeepMind's board before the acquisition and had watched the deal go through with a growing sense of dread. His concern, stated clearly in everything that followed, was that AI developing inside a profit driven corporation like Google would eventually create something that served the corporation's interests rather than humanity's. According to the original lawsuit he later filed against OpenAI, "in the hands of a closed, for-profit company like Google, AGI poses a particularly acute and noxious danger to humanity." That sentence, written by his lawyers in 2024, captures pretty accurately what he was saying to people in private back in 2014. Sam Altman shared, or at least appeared to share, these concerns. He had written that year that the development of superhuman machine intelligence was among the most consequential things likely to happen in human history. Greg Brockman, then CTO of Stripe, ended up at a dinner with Musk and Altman where the idea of a counter-organisation started to take shape. As Brockman later wrote on his blog: "Sam gave me a ride back to the city. We both agreed that it seemed worth starting something here. I volunteered myself as tribute." It is a charming origin story. It is also the version that started to unravel fairly quickly once real money entered the picture.
Part 02: The Billion Dollar Announcement That Was Not Quite a Billion Dollars On December 11, 2015, OpenAI launched publicly as a nonprofit research lab. The press release announced one billion dollars in committed funding from Elon Musk, Sam Altman, Peter Thiel, Reid Hoffman, and a handful of other prominent names. The framing was clear: this would be a lab free from the commercial pressures that made Google and its competitors dangerous. OpenAI's charter stated plainly that the organization was "not organised for the private gain of any person." The billion dollar number made headlines everywhere. It sounded like a movement. The reality, according to internal emails that surfaced during litigation, was somewhat different. Most of that billion dollars never materialised. The vast majority of early funding came from a single source: Elon Musk. Between 2015 and 2018, Musk donated somewhere between thirty eight and forty four million dollars to OpenAI. He did not just write checks. He recruited talent, made calls to secure computing resources, and used his credibility to convince top researchers that this was a place worth betting their careers on. The one billion dollar announcement had actually been Musk's idea. According to emails that OpenAI later published as part of their legal defense, when the founding team was initially planning to announce a hundred million dollar commitment, Musk sent an email saying the figure needed to be bigger. "We need to go with a much bigger number than $100M to avoid sounding hopeless," he wrote. "I think we should say that we are starting with a $1B funding commitment. I will cover whatever anyone else doesn't provide." So the billion dollar announcement was a stretch goal, not a committed sum, and the man who had insisted on inflating the number for press purposes was the same man who would later claim in court that the organisation misrepresented its foundations to him. That contradiction matters, and we will come back to it.
Part 03: The Year Everything Started Breaking For the first two years OpenAI mostly did what it said it would do. Published research openly. Focused on safety. Stayed out of the product race. Researchers from around the world joined, including Ilya Sutskever, who had been one of the most important figures in deep learning since co-authoring AlexNet. The team was small, the work was serious, and the nonprofit structure held. The breaking point came in 2017. Not because anyone stopped believing in the mission, exactly, but because of mathematics. The team had started to understand the scale of compute required to build AGI. The numbers were staggering. Not tens of millions. Not hundreds of millions. Potentially billions of dollars per year, sustained, over a long horizon. A nonprofit research lab, even a well funded one, was not built to raise that kind of capital. Something had to change structurally if the mission was going to survive. This is where the competing narratives start to diverge dramatically. OpenAI's version, published in response to Musk's lawsuits, is that the team began discussing a for-profit structure as a logical response to financial reality, Musk was part of those discussions and initially supportive, and things fell apart only when Musk started demanding terms that nobody could accept. Musk's version, filed in court, is that the pivot to for-profit was a betrayal of the founding agreement he had entered in good faith, and that Altman and Brockman knew from early on that the nonprofit structure was not the final destination. Both versions are supported by documentary evidence. Which is what makes this whole thing so genuinely complicated. Here is what the emails actually show. In September 2017, Musk demanded majority equity in OpenAI, control of the board of directors, and the CEO position. According to OpenAI's published account, when negotiations over a for-profit structure began, "Elon wanted majority equity, initial board control, and to be CEO. In the middle of these discussions, he withheld funding." Reid Hoffman, who was on the founding donor list, stepped in to cover salaries while Musk withheld his contributions. The team rejected Musk's demands because giving one individual absolute control over the organisation felt like it would undermine the mission just as surely as handing it to Google would. Musk then proposed a different solution. In February 2018, he forwarded an email to Brockman and Sutskever suggesting that OpenAI should attach to Tesla as its "cash cow." Tesla, in Musk's framing, was the only company that could compete with Google. It would fund the research. OpenAI would essentially become a division of a car company. The team rejected that too. Musk left OpenAI's board in February 2018. On his way out, he told the team their probability of success was zero. He also told them, according to OpenAI's published account, that he planned to build his own AGI competitor through Tesla. And when he left, he said he was supportive of them finding their own path. Then, four years later, he sued them.
Part 04: The Diary Now here is the piece of evidence that changed everything when it became public. Greg Brockman kept a private journal. He wrote in it during the negotiations of 2017 and early 2018, processing his thoughts the way a lot of founders do, trying to make sense of a situation that had no clean resolution. In November 2017, Brockman wrote an entry that has since become the central exhibit in the biggest tech lawsuit in American history. According to court filings and the federal judge's written ruling, Brockman wrote that he could not honestly say he was committed to the nonprofit, because that representation would be "a lie," and Musk's story would "correctly be that we weren't honest with him in the end about still wanting to do the for profit just without him." In a separate entry, he wrote "I cannot believe that we committed to non-profit if three months later we're doing b-corp then it was a lie." Brockman was not writing for an audience. He was writing for himself, trying to untangle his own conscience. What he was probably doing was working through a hypothetical: if we told Musk we were committed to nonprofit and then immediately converted, that would be dishonest. It reads less like a confession and more like a person who actually had a conscience. But it is simultaneously the most damaging piece of evidence in the case. Because Musk's lawyers have a three word quote from a private journal, written by a cofounder, saying the nonprofit commitment was a lie. On January 15, 2026, US District Judge Yvonne Gonzalez Rogers ruled that the case was going to trial. She cited Brockman's diary entries directly. She noted that the documentary evidence, taken together, was sufficient to create factual disputes that a jury needed to resolve. She rejected every motion OpenAI and Microsoft filed to get the case dismissed. "This case is going to trial," she said in a 90 minute hearing that, by multiple accounts, was occasionally testy. The trial is scheduled to begin on April 27, 2026 in Oakland, California, and it is expected to run through the end of May. Musk is seeking damages of between seventy nine and a hundred and thirty four billion dollars, calculated by applying his proportional contribution to OpenAI's seed funding against the company's current five hundred billion dollar valuation. If he wins the fraud claim in full, it would be one of the largest damage awards in the history of American litigation. Sam Altman, Greg Brockman, and Microsoft CEO Satya Nadella are all expected to testify under oath. A jury of regular people will read Brockman's diary entries, review internal emails, and decide whether the most valuable AI company in the world was built on a promise that its founders never intended to keep. That trial starts in a month. This is happening right now.
Part 05: The Boardroom Coup Nobody Fully Understood While the lawsuit was building in the background, the most dramatic single moment in OpenAI's history occured on November 17, 2023. Sam Altman received a text message from Ilya Sutskever on a Thursday evening, asking if he was free for a Google Meet call the following day at noon. Altman agreed. When he joined the call at noon the next day, the entire board was present except for Greg Brockman. Sutskever informed him that he was fired. The board no longer had confidence in his ability to lead OpenAI. Altman was watching the Las Vegas Grand Prix at the time. He found out he was being fired from one of the most consequential companies on earth in the same window of time he would have been watching a qualifying lap. The official statement from the board was that Altman had not been "consistently candid in his communications." No specifics. No malfeasance alleged. Just a vague assertion that he could not be trusted to tell the board the truth. What actually drove the firing is now much better understood, thanks to Ilya Sutskever's October 2025 deposition in the Musk lawsuit. Sutskever admitted that he had been considering firing Altman for more than a year, waiting for board dynamics to align in a way that would make it possible. He was fed a fifty two page dossier of concerns, compiled largely from secondhand information provided by Mira Murati, the Chief Technology Officer at the time. The dossier alleged a pattern of dishonesty, undermining colleagues, and management behavior that Murati found impossible to work around. There was also a more specific trigger. Investigators later surfaced reporting that a board member had discovered by chance that OpenAI's "Startup Fund," which Altman managed, was not disbursing money to its intended investors. And when the board investigated, they found that Altman personally owned the fund. He had a financial stake in a vehicle he was managing on behalf of others, and apparently had not disclosed this clearly. That discovery, combined with Sutskever's longstanding concerns, gave the board the opening it needed. On November 16, four of the six board members voted to fire Altman. They did not inform Microsoft, which had invested thirteen billion dollars in the company. They did not meaningfully inform the senior staff. Greg Brockman, Altman's closest ally on the founding team, was removed from the board in the same action and found out moments before the public announcement. And then everything collapsed faster than anyone on the board had anticipated. Brockman quit within hours. Three senior researchers followed immediately. Microsoft's CEO Satya Nadella announced within forty eight hours that Altman and Brockman would both join Microsoft to lead a new AI research team, effectively threatening to pull the rug from under OpenAI's entire commercial operation in one move. And an employee petition circulated demanding Altman's reinstatement, eventually gathering seven hundred and two signatures, including, in the most stunning single development of the entire episode, Ilya Sutskever's own name. The man who had orchestrated the firing signed the petition to reverse it. According to Sutskever's later deposition, he had badly miscalculated how employees would react. He expected they would be largely indifferent. He did not expect the company to be on the verge of complete collapse within thirty six hours. There is one piece of the November coup story that is even wilder than the coup itself. During the weekend of chaos, with OpenAI leaderless and employees threatening mass exodus, some board members reached out to Anthropic to discuss a potential merger that would have put Anthropic's leadership, specifically Dario and Daniela Amodei, in charge of OpenAI. The Amodeis were co-founders who had left OpenAI in 2020 to start Anthropic, which is now OpenAI's biggest competitor. The board was seriously considering handing the keys to their chief rival. Sutskever confirmed in deposition that the discussions happened and that board members seemed receptive to the idea. It did not happen. Altman was reinstated on November 22, 2023, five days after being fired. He returned with a new board that he largely selected himself. Adam D'Angelo was the only board member carried over from the group that had fired him. The co-author of the fifty two page dossier that triggered the whole thing? Mira Murati eventually resigned from OpenAI in September 2024, citing her desire to explore her own ventures. The man who wrote the dossier and orchestrated the firing? Ilya Sutskever left OpenAI in May 2024 and started a new company called Safe Superintelligence Inc. And there is now a Hollywood movie in production about the whole saga. Part 06: What a $500 Billion Company Looks Like From the Outside Here is where things stand in March 2026. OpenAI is worth approximately five hundred billion dollars. It completed a major recapitalisation in late 2025 and restructured itself so that the for-profit entity, now called OpenAI Group PBC, operates as a public benefit corporation with the nonprofit retaining a controlling stake. Whether that structure actually honors the founding mission is precisely what a jury in Oakland is about to decide. Musk, who donated roughly forty four million dollars to OpenAI between 2015 and 2018, is seeking damages of up to a hundred and thirty four billion dollars. The legal theory is unjust enrichment combined with fraud: he provided funding conditionally, those conditions were violated, and the value of the company that was built on his contributions now belongs to others. His lawyers applied his proportional share of seed funding to the current valuation and got a number that is roughly three and a half thousand times his original investment. Whether he wins is genuinely unpredictable. The same emails that support his claim of being misled also show him pushing for a for-profit structure, wanting Tesla to be OpenAI's cash cow, and agreeing in writing that the company should "start being less open" over time. He simultaneously argues that the nonprofit commitment was sacred and that he was fine with abandoning it if he got control. A jury is going to have to make sense of that. Legal experts who have analysed the case note that Musk's lawyers built their fraud theory on the "ongoing breach" doctrine, meaning that every step away from nonprofit status after his departure potentially reset the three year statute of limitations clock. The judge accepted that theory, which is why the case survived the motion to dismiss. Meanwhile, Musk filed a $97.4 billion unsolicited bid to buy the nonprofit controlling entity of OpenAI in February 2025. OpenAI rejected it on Valentine's Day 2025. The company said it was not for sale. The man suing OpenAI for betraying its mission also tried to buy it. The man running OpenAI against whom fraud is being alleged is currently spending more time in Washington attending political dinners than most people in his position. Greg Brockman, whose diary contains the phrase "it was a lie," has been photographed at the White House and described himself in a recent Wired interview as "apolitical." None of these people are straightforward heroes or villains. That is what makes this story so much more interesting than the version where a group of altruistic visionaries just built a great product.
Part 07: What Builders Should Actually Take Away From This If you build with OpenAI's APIs, if you use ChatGPT, if you are thinking about building on top of any AI infrastructure, there are three things the OpenAI story tells you that the product announcements do not. Mission statements are not legally binding. Governance documents are. The nonprofit commitment that Musk is suing over was never codified in a way that prevented the for-profit structure from emerging. The founding agreement was verbal and informal. If you are building anything with partners, investors or co-founders around a mission driven premise, you need that stuff written down in a way that actually has teeth. A press release is not a contract. The most technically capable people in any organisation are not always the ones with power. Ilya Sutskever was arguably the most technically important person at OpenAI. He was the one who could most clearly see what the models were becoming. His concerns about Altman were not obviously wrong. And he lost completely. Within forty eight hours of the most consequential decision he ever made at the company, he was publicly apologising and signing a petition that reversed it. If you are building inside an organisation, understand that technical authority and organisational authority are different things and knowing which battles you can actually win matters enormously. The Anthropic angle here is underrated. Dario and Daniela Amodei left OpenAI specifically because they had concerns about how the for-profit pivot was changing the company's safety culture. They started Anthropic with a different governance structure, a long-term benefit trust model, explicitly designed to prevent the kind of mission drift that OpenAI's critics are now litigating. Whether that structure actually holds as Anthropic gets bigger and more valuable is a genuinely open question. But the fact that the Amodeis left, built a competitor, and then were nearly handed control of OpenAI during the weekend coup is one of the stranger subplots in recent technology history. The trial that starts April 27 will shape how AI companies are built for the next decade. If Musk wins, or even if the case produces a significant settlement, it will establish that nonprofit commitments made to founding donors have real legal enforceability, even when companies subsequently restructure. Every AI lab currently operating under a mission driven framing will need to take that seriously. If OpenAI wins, it signals that founders can evolve their structure significantly as long as they document the evolution carefully enough. Either outcome changes the rules. And the builders who understand what is actually being argued in that Oakland courtroom in April will have an edge on the ones who are just watching the product launches.
The Part Nobody Wants to Acknowledge Here is the uncomfortable thing about the OpenAI story. Both sides are partially right. Musk is correct that the organisation he helped fund made commitments that it did not ultimately keep, at least in letter. He is correct that an entity that promised no individual would benefit privately from its work is now making Altman and many others very wealthy. He is correct that the competitive dynamic between his AI company and OpenAI creates an obvious conflict of interest in his motivations for the lawsuit. Altman and the OpenAI team are correct that building AGI at the scale now required would have been impossible with nonprofit funding. They are correct that Musk himself was pushing for for-profit structures and full control before he walked away. They are correct that his sudden concern for the nonprofit mission materialized very conveniently right around the time his competing AI company launched. And Ilya Sutskever, who is somewhere in the middle of all this, was probably correct that Sam Altman's management style created real problems inside OpenAI. He was also completely wrong about how employees would react to the firing and completely unprepared for the organisational consequences. What the origin story of OpenAI actually shows is that AI governance is hard. Not hard in a theoretical sense. Hard in the sense that real people with real financial interests and real power and real egos are making decisions under genuine uncertainty about what they are building, and the pressure those decisions create tends to crack the most carefully constructed frameworks. The nonprofit that was going to save humanity from Google is now worth five hundred billion dollars, partially owned by Microsoft, and going to trial in a fraud case filed by its own cofounder. And ChatGPT is still the most used consumer AI product in the world. That is the actual origin story. It is messier and stranger and more human than the version you usually hear. And for anyone building anything in this space, it is probably more useful too.

Because the governance of these platforms affects what they do, how they price, what they allow, and whether they continue to exist in their current form. OpenAI has already changed its API pricing, adjusted its usage policies, and shifted its product roadmap in ways that have broken workflows for thousands of developers. Understanding the ownership and incentive structure of the platforms you depend on is not just interesting background. It is due diligence. And right now, the ownership and incentive structure of the most important AI company in the world is being contested in federal court. Q: Is Sam Altman actually a bad person? This might be the wrong question. What the documented record shows is someone who is extraordinarily effective at acquiring resources, building coalitions, and maintaining momentum in an incredibly competitive environment. It also shows someone who multiple colleagues across multiple organisations, including before OpenAI, found difficult to work with because he told different people different things and managed by creating internal competition rather than clarity. Whether those things make him bad is a values judgment. What they do make him is a recognizeable type in the history of Silicon Valley: a person whose ability to build things is genuine, whose management style causes real damage, and whose capacity to survive institutional crises is genuinely impressive. The jury will not be asked whether he is a good person. They will be asked whether he made promises he knew he was not going to keep. Those are very different questions.
